NORMA Group Annual General Meeting: Approval of all agenda items

NORMA Group held its Annual General Meeting today. This year’s Annual General Meeting was held with shareholders present after three years of virtual events. The shareholders in attendance, together with the votes previously submitted, represented about 78 percent of the share capital.

Dividend of EUR 0.55 per share resolved

The NORMA Group dividend policy calls for a payout ratio of 30 to 35 percent of adjusted consolidated net profit. With a wide majority, the Norma Group Annual General Meeting approved the proposal of the Supervisory Board and Management Board to distribute a dividend of EUR 0.55 per share. This corresponds to a distribution volume of about EUR 17.5 million. The payout ratio is thus 31.3 percent of the adjusted consolidated net profit in financial year 2022 amounting to EUR 56.0 million.

Denise Koopmans and Dr. Markus Distelhoff new members of the Supervisory Board

Because the terms of four Supervisory Board members ended as scheduled, the agenda included the election or re-election of Supervisory Board members. By resolution of the Annual General Meeting, Denise Koopmans (60) and Dr. Markus Distelhoff (57) were elected as new members of the Supervisory Board. They succeed long-serving Supervisory Board members Günter Hauptmann (68) and Dr. Knut Michelberger (75), who did not stand for re-election. In addition, Supervisory Board members Erika Schulte (62) and Rita Forst (68) were re-elected. Miguel Ángel López Borrego (58), currently interim CEO, will resume his position as a member of the Supervisory Board on June 1, 2023. The NORMA Group Supervisory Board thus has equal representation with three women and three men.

Mark Wilhelms new Chairman of the Supervisory Board

The Supervisory Board elected Mark Wilhelms (63) from its ranks as the new Chairman of the Supervisory Board. The current Chairman of the Supervisory Board, Günter Hauptmann (68), was not a candidate for re-election. Mark Wilhelms has been a member of the NORMA Group Supervisory Board since 2018 and was Chief Financial Officer (CFO) of Stabilus SA until 2022.
